Broad Overview 

 

The Senior Corporate Counsel is responsible for providing legal and strategic advice to the Company on a wide variety of legal issues including contracts, general corporate, federal and state regulatory requirements, litigation, intellectual property, product liability, securities, mergers and acquisitions, health and safety and employment law. This “hands on” position will work independently and in conjunction with the VP, US Legal & Compliance to provide legal support to senior management and personnel throughout the Company and its subsidiaries.   

 

As Senior Corporate Counsel, your responsibilities will include: 

 

  • Provide legal support to Company business units advising internal stakeholders on compliance with applicable federal and state healthcare laws, regulations and industry standards (e.g., FDCA, AKS, PhRMA Code) 

  • Draft, negotiate and review contracts including, without limitation, manufacturing, supply, commercial, clinical trial, financing, licensing, confidentiality, consulting and research and development agreements 

  • Chair one or more of the Company’s Promotional Review Committees ensuring promotional materials are compliant with applicable laws and regulations 

  • Identify and analyze legal issues, present clear executable recommendations, and assure legal and contractual compliance 

  • Assist in the development, implementation, administration and monitoring of the Company’s compliance programs to ensure compliance with governmental laws, rules and regulations and the Company’s internal policies and procedures 

  • Participate in business development activities (merger and acquisitions, licensing and other partnering opportunities), including deal and risk assessment and due diligence 

  • Oversee and coordinate litigation handled by external counsel to ensure high-quality, cost-effective representation 

  • Assist with internal policies, training, and corporate governance initiatives

To be successful in this role, you should demonstrate: 

 

  • Juris Doctor degree from an accredited law school 

  • Licensed to practice law in at least one state (preference for Pennsylvania) and in good standing 

  • 5-8 years of experience, preferably in a pharmaceutical or biotech legal department or at a law firm supporting the life sciences industry 

  • Strong, hands-on work ethic with willingness to assume heavy workload to meet timing and project needs 

  • Demonstrates excellent business judgment and creativity 

  • Strong drafting and negotiation skills 

  • Strong oral, written and presentation skills and ability to clearly articulate complex information 

  • Strong analytical and problem-solving skills, with attention to detail 

  • Ability to establish and maintain effective working relationships throughout the organization 

  • Ability to effectively multi-task, prioritize work and establish and execute plans 

  • Strong interpersonal skills, including optimism, diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company and with our customers and other business partners
